Mamas Helping Hands Affiliate Program Agreement

This Agreement is between Heather Dulaney, doing business as Mamas Helping Hands, with an address at PO Box 391, Anna, Ohio 45302 ("Mamas Helping Hands," "we," "us," or "our"), and the person or entity accepted into the affiliate program ("Affiliate," "you," or "your").

Your participation begins only after we approve your application and add you to the applicable affiliate campaign or campaigns. We may approve or decline an application in our reasonable discretion. Electronic acceptance has the same effect as a handwritten signature.

You must be at least 18 years old and legally able to enter into this Agreement. You must provide accurate contact, payment, and tax information and keep that information current. Enrollment in the affiliate program is free. You are not required to purchase a course to become an affiliate; however, you must understand each course you promote and describe it accurately. We may require you to review current course and marketing materials before approving you for a campaign.

You are an independent contractor and not our employee, agent, partner, joint venturer, franchisee, or legal representative. You may not make commitments, warranties, or representations on our behalf. You control how and when you perform your promotional activities, subject to this Agreement and applicable law. You are responsible for your own expenses, insurance, permits, and taxes.

We will issue or activate a unique affiliate link for each campaign in which you are approved. You must use your own link when referring a potential customer. The Mamas Helping Hands informational website does not replace your personal affiliate link and may not preserve referral tracking.

A sale is credited only when the affiliate platform or our payment records reliably attribute the completed purchase to your active affiliate link. Platform cookie duration, last-click rules, technical limitations, and other tracking rules are governed by the platform we use. We are not responsible for blocked cookies, deleted cookies, incorrect links, device changes, browser settings, or other circumstances outside our reasonable control.

Requests for missing referral credit must be sent to heather@mamas-helping-hands.com within 30 days after the sale date and include the customer name, purchase date, course, and any supporting records. We may correct clear tracking errors in our reasonable discretion, but we do not guarantee retroactive credit where attribution cannot be verified.

A "Qualifying Sale" is a sale that is fully paid, correctly attributed to your active affiliate link, lawful and genuine, and not canceled, refunded, disputed, charged back, duplicated, fraudulent, or made in violation of this Agreement. Commissions are earned only on Qualifying Sales. Taxes, fees, shipping, and noncommissionable items, if any, are excluded unless we state otherwise in writing.

Current commission rates are listed in Exhibit A. Unless we state otherwise in writing, the rate in effect when a Qualifying Sale occurs controls. We may change course prices or commission rates prospectively by written or electronic notice. A rate change will not reduce a commission already earned on a Qualifying Sale before the effective date of the change.

We pay approved commissions twice each month, subject to verification and the adjustments described in this Agreement:

• •On the 15th, for Qualifying Sales made from the 28th day of the preceding month through the 14th day of the current month, inclusive.
• •On the 28th, for Qualifying Sales made from the 15th day through the 27th day of the current month, inclusive.

If a scheduled payment date falls on a weekend or bank holiday, payment may be made on the next business day. Payment timing may also be reasonably delayed while we investigate suspected fraud, a dispute, a platform error, or incomplete payment or tax information. Payments will be sent using the payment option you set up in your affiliate dashboard. You are responsible for any fees charged by your payment provider.

If a customer receives a refund or initiates a chargeback, reversal, or payment dispute for a sale on which you received or were credited a commission, we may cancel the unpaid commission or deduct the amount from a future payout. If your affiliate account has a negative balance when your participation ends, you agree to repay that balance within 30 days after written notice, to the extent permitted by law.

Whenever you promote a Mamas Helping Hands course, you must clearly and conspicuously disclose your financial relationship in a place consumers are likely to notice before or at the time they encounter your link or recommendation. The disclosure must be easy to understand and must not be hidden in a profile page, among unrelated hashtags, or behind a "more" link when it can reasonably appear earlier.

An approved disclosure is: "I am an affiliate for this program. I may earn a commission if you purchase through my link, at no additional cost to you." You may use different wording only if it communicates the same information just as clearly. You must also follow the disclosure rules of each platform you use and all applicable endorsement and advertising laws.

All promotions must be truthful, accurate, current, and supported. You may discuss your genuine experience and use materials we approve, but you may not:

• •promise or guarantee income, sales, results, personal transformation, or any specific outcome;
• •state or imply that typical purchasers or affiliates will achieve an exceptional result without reliable support and any required context;
• •use false urgency, fake scarcity, fabricated reviews, altered testimonials, or misleading screenshots;
• •claim you personally completed or benefited from a course if that is not true;
• •misstate a course price, feature, availability, refund policy, commission, or program requirement; or
• •make health, legal, financial, or other regulated claims that we have not expressly approved in writing.

Testimonials describe individual experiences and are not guarantees. If you share an earnings example or testimonial, you must preserve its meaning, include material context, and avoid implying that the result is typical unless we have reliable evidence that it is.

You may promote approved courses through lawful social media, websites, blogs, email, or direct conversations, provided your conduct follows this Agreement. Without our prior written permission, you may not:

• •send spam or unsolicited bulk email, text messages, automated calls, or repeated unwanted direct messages;
• •bid on Mamas Helping Hands, Heather Dulaney, a course name, or a confusingly similar term in paid search advertising;
• •register or use a domain name, social handle, page name, or account that impersonates us or suggests it is an official Mamas Helping Hands account;
• •publish your affiliate link on coupon, rebate, cashback, deal, browser-extension, or link-injection services;
• •offer an unauthorized discount, bonus, refund, rebate, or incentive;
• •use cookie stuffing, forced clicks, misleading redirects, adware, bots, fake leads, or other deceptive tracking practices;
• •purchase through your own affiliate link or arrange a purchase primarily to generate a commission;
• •place promotions beside unlawful, hateful, harassing, sexually explicit, violent, or intentionally deceptive content; or
• •recruit sub-affiliates or transfer your link, account, or commissions to another person.

You are responsible for complying with the laws and platform rules that apply to your marketing, including rules for commercial email, text messages, privacy, contests, endorsements, and advertising. Commercial email must include accurate sender and subject information, identify the message as advertising when required, provide any required physical postal address, and offer a functioning opt-out method. You may contact only people you are lawfully permitted to contact and must promptly honor opt-out requests.

While your affiliate account is active, we grant you a limited, nonexclusive, nontransferable, revocable license to use our approved names, logos, images, course descriptions, and other promotional materials only to promote the approved courses. You receive no ownership rights. You may resize approved materials for placement, but you may not alter them in a way that changes their meaning, removes a disclosure, or creates a misleading claim. You must stop using our intellectual property immediately when requested or when this Agreement ends.

You must protect nonpublic information we provide, including customer information, unpublished course materials, campaign data, security information, and business plans. You may use customer information only for the lawful purpose for which it was provided, must apply reasonable safeguards, and must not sell, disclose, or reuse it for unrelated marketing. Notify us promptly at heather@mamas-helping-hands.com if you suspect unauthorized access, disclosure, or loss.

We may review public promotions that reference us or our courses. You agree to provide reasonable information about your promotions and promptly correct or remove content that violates this Agreement, applicable law, platform rules, or written brand instructions. Our review or failure to review content does not shift responsibility for your conduct to us.

This Agreement continues until you or we terminate it. You may leave the program by written notice. We may suspend or terminate your participation, remove you from one or more campaigns, or deactivate your links at any time, with or without cause. We may act immediately for suspected fraud, unlawful conduct, consumer harm, misuse of our brand, confidentiality or data violations, or a material breach of this Agreement.

Subject to refunds, chargebacks, verification, and any lawful withholding or offset, we will pay commissions properly earned on Qualifying Sales before the effective date of termination. Commissions connected to fraud, deception, self-referrals, prohibited conduct, or a material breach may be denied or forfeited to the extent permitted by law. Sections that by their nature should survive termination will survive, including taxes, confidentiality, intellectual property limits, refunds and reversals, liability provisions, dispute terms, and payment obligations.

We may update this Agreement or the program prospectively. We will give notice of material changes by email, through the affiliate platform, or on the program website. The notice will state the effective date. Continuing to promote after that date constitutes acceptance where permitted by law; we may require renewed electronic acceptance for material changes. Changes will not retroactively reduce commissions already earned on Qualifying Sales.

You are responsible for reporting and paying all taxes arising from your commissions. You must provide any reasonably requested tax form or taxpayer information. We may withhold payments when legally required or until required information is received. You should maintain your own records of referrals, promotions, payouts, and expenses.

The affiliate program, platform, links, and materials are provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not guarantee uninterrupted tracking, platform availability, customer purchases, commission levels, income, or any particular result. Nothing in this Agreement excludes a warranty or right that cannot lawfully be excluded.

To the fullest extent permitted by law, Mamas Helping Hands and its owners, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business opportunities arising from the affiliate program. To the fullest extent permitted by law, our total liability arising from this Agreement will not exceed the commissions paid or payable to you during the six months immediately preceding the event giving rise to the claim. This section does not limit liability that cannot lawfully be limited.

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Mamas Helping Hands and its owners, employees, and service providers from third-party claims, damages, losses, liabilities, penalties, and reasonable legal expenses arising from your promotions, your breach of this Agreement, your violation of law or platform rules, or your infringement or misuse of another person's rights. We will provide reasonable notice of a covered claim and may participate in its defense.

This Agreement is governed by the laws of the State of Ohio, without regard to conflict-of-law principles. Before filing a lawsuit, the parties will make a good-faith effort for at least 30 days to resolve the dispute informally after written notice describing the issue and requested resolution. Unless applicable law requires otherwise, any court proceeding must be brought in the state or federal courts located in Shelby County, Ohio, and each party consents to their jurisdiction and venue.

This Agreement and any incorporated exhibits are the entire agreement concerning the affiliate program and replace prior oral or written statements on the same subject. If a provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue. A waiver must be in writing and does not waive a later breach. You may not assign this Agreement without our written consent. We may assign it as part of a business transfer or reorganization. Notices may be sent to the latest email address each party has provided.

By signing below or electronically accepting this Agreement, you confirm that you have read it, understand it, and agree to be bound by it. You also confirm that the information you provided in your affiliate application is accurate.
